用于各种投融资项目，如上市，并购，贷款等等。该过程比较繁琐,项目方容易失去耐心。
于上市，在向呈交所有文书工作以求获得批准之前，自己客户进行调查。Due Diligence即是投资人投资象进行诸如运营和管理方面调查与核实过程。此类调查始于20世纪30年代，要求承销人委托自己承销股票或债券公有足够了解。
现在发行公用标准法定格式全面公开各种经过严格调查和鉴定商业信息。为了保证公开信息可靠性，承销人（在IPO情况下通常由首席投行带领）在三个层面上“勤责”。在法律层面，他们验证公有没有税收问题、诉讼风险和其他法律上红灯。在财务上，公透露至少五年内各项报表，所有债务和产权在资产负债表上清楚列出。在运营层面，承销人检查公所有部门或工厂、竞争象、管理班子身份和背景等等。
Due diligence is the process by which information is gathered about the issuer in order to produce a marketing and a disclosure document that provides full disclosure, thus mitigating liability for those potentially at risk.
